CONSTITUTION FOR ARKANSAS ASSOCIATION FOR DEVELOPMENTAL EDUCATION (ARKADE)
The organization shall be known as the Arkansas Association for Developmental Education (ArkADE).
The purpose of this Association shall be to enhance the professional development of educators who provide instruction and learning assistance in support of student success.
The Association shall accomplish its purpose by:
Providing professional development to our members through conferences and workshops. Promoting, assessing, and supporting student learning and successful education outcomes. Providing leadership through public awareness activities, policy development, and advocacy for students at the local and state levels. Expanding the theory and knowledge upon which the profession is based. Disseminating information on exemplary models of practice that have been identified through program evaluation. Coordinating efforts with other organizations and individuals at the state, regional, and national levels that have goals in harmony with ArkADE. Facilitating communication among our members through newsletters, special mailings, emerging technology communication systems, and other dissemination media. Adapting the Association infrastructure to meet current needs and anticipate future trends.
The Arkansas Association for Developmental Education shall be affiliated with the National Association for Developmental Education (NADE).
Membership for the Association will be:
Individuals who are involved as educators or administrators in post-secondary developmental education programs, or who are otherwise interested in the purpose and objectives of ArkADE. These members pay dues and may vote. Students who are in a graduate level training program. Student members do not pay dues and do not vote. Colleges and universities that offer developmental/remedial education programs may purchase an institutional membership which includes one conference registration fee waiver. The individual using this fee waiver has voting privileges.

Amendments to the Constitution may be adopted, amended or repealed by a 2/3 majority of the members who vote. Proposed amendments and voting instructions will be distributed in advance by the Executive Board.
Upon dissolution of the Arkansas Association for Developmental Education, such assets as may remain shall be distributed for charitable, educational or scientific purposes as described in section 501 (c) of the Internal Revenue Code of 1954, and such decision shall rest with the Executive Board.
BY LAWS ARTICLE I
RULES OF ORDER
Roberts Rules of Order, Revised
shall guide the Association in all areas not in these By Laws.
The annual dues for members, institutions, and student members shall be reviewed each year and set by the Executive Board. The fiscal year shall be from July 1 to June 30.
Membership of the Executive Board shall be the President as presiding officer, President-elect, Immediate Past President, Secretary, and Treasurer. The membership of the Executive Board shall also include two Members at Large Officers shall be members of ArkADE and also members of NADE. The Executive Board shall meet at least twice a year, with other meetings held at the discretion of the President. The Executive Board is responsible for professional maintenance and professional direction of the Association.
DUTIES OF THE MEMBERS OF THE EXECUTIVE BOARD
President: duties shall include acting as the executive officer, presiding at all meetings and conferences, appointing all committee members, and acting as an ex-officio member of all committees. The President shall act at his/her own discretion in situations he/she considers to be emergencies, subject to later discussion and action by the Executive Board, and otherwise implement the provisions of the Constitution and By Laws. President-elect: duties shall include acting as executive officer in the absence of the President. He/she shall also serve as chair of the Conference Committee for the annual conference. Immediate Past President: duties shall include aiding the President in carrying out his/her duties wherever possible, assuming the duties of the President should the President resign or be unable to perform the duties of the office, and acting as a resource person with regard to policies of the organization. Secretary: duties shall include recording activities and actions of all meetings, providing minutes to the Executive Board, and acting as chairman of the Elections Committee. Treasurer: duties shall include maintaining and reporting of all financial matters relating to the Association. Members at Large: duties shall include representing the membership at the meetings of the Executive Board and recruitment of new members.
TERMS OF OFFICE
Each newly elected officer shall take office at the conclusion of the conference at which they were elected. Outgoing officers shall be available for transition assistance until December 1.
The President-elect shall be elected annually and shall hold office for one year before becoming President. In the event the president-elect is unable to assume his/her duties and it is not feasible to appoint/elect a replacement, the president shall continue as president for an additional year.
The Immediate Past President will remain on the Executive Board for one year following his/her term as President. The Secretary shall be elected biennially and shall hold office for a two-year term. The Treasurer shall be elected biennially and hold office for a two-year term.
In the event of a vacancy on the Executive Board, the President shall appoint a replacement officer, who will serve until the next annual election.
Committee chairs shall appoint all committee members or ask for volunteers.
Budget Committee: shall establish a proposed fiscal budget and reviews Association expenditures. Campus Liaisons Committee: shall be institutional representatives responsible for the dissemination of information relevant to the objectives and activities of ArkADE to developmental education faculty on their respective campuses. Conference Committee: shall coordinate and arrange all activities associated with the conference. Members may volunteer and/or be appointed by the President. Editorial Committee: shall be responsible for assisting the Newsletter Editor in the planning, production, and distribution of the newsletter. The Newsletter Editor shall coordinate this committee. Elections Committee: composition of the Elections Committee includes the Immediate Past-President, Elections Committee Chair, Membership Chair, Treasurer, Awards Committee Chair, Newsletter Editor, and two other association members as appointed by the President. They shall provide a slate of nominees and conduct election procedures. Membership Committee: duties shall include maintaining an up-to-date list of members and recruitment of new members. Political Liaison Committee: shall be appointed by the President to serve as advocates for political action in issues related to funding, assessment policies, practices, and procedures, and related to development and advancement of learning assistance and developmental education programs. Public Relations Committee: shall promote ArkADE and developmental education. It will also promote the professional membership of ArkADE. Research Committee: shall pursue such research in the area of developmental education as will effect better developmental instruction and administration. This committee will disseminate the results of their research for the betterment of the association and the profession. Special Task Forces: may be appointed by the President to conduct specific tasks in the interest of ArkADE. Such committees will operate within the purposes and objectives of ArkADE, shall be specifically charged, and automatically dismissed upon completion of their task.
The Association shall publish a newsletter semi-annually during the academic year. The name of the publication shall be ArkADE Newsletter. The Journal of the Arkansas Association for Developmental Education (JAADE) shall be published periodically. An ArkADE web site will be maintained by the Association.
Officers shall be elected by a simple majority vote of the membership. Candidate information and voting instructions will be distributed in advance by the Elections Committee as directed by the Executive Board.
At least one conference shall be held each year. Dates and location shall be appropriate for maximum attendance of the membership. A meeting of the membership shall be held in conjunction with conferences. A quorum shall consist of those members present at both membership meetings and meetings of the Executive Board.
